The Process
Nominee resident director
Every Sdn Bhd must have at least one director who ordinarily resides in Malaysia. We provide our own nominee resident director, included in your incorporation. You retain full ownership and control of your company at all times.
Foreign ownership
You can own up to 100% in most sectors. We review your business activity first and confirm whether any equity restrictions apply before anything is filed.
Paid-up capital
The legal minimum is RM1, but the right amount depends on your sector and any immigration plans. We advise you on a sensible figure upfront.
We walk you through your shareholding structure, directorship setup, and how your company should be organised. We also discuss your proposed company name and business activities here.
Each director and shareholder will need to provide:
We handle name reservation, the company constitution, and SSM registration. You review and sign remotely.
Bank account opening is the step that trips up most foreign owners. We guide you through the requirements, help you prepare the right documents, and liaise directly with the bank on your behalf.
Your company is registered. Now we keep it running cleanly. We provide ongoing accounting, tax compliance, management accounts, payroll, corporate secretarial, and advisory services so you stay compliant and focused on building your business.
FAQ
No. The entire incorporation process can be handled remotely. Documents are reviewed and signed electronically, and all submissions to SSM are managed on your behalf. You do not need to be in Malaysia at any point during incorporation.
A nominee resident director is a person who ordinarily resides in Malaysia and is appointed as a director of your company to satisfy the Companies Act 2016 requirement. The nominee does not have any operational control or decision-making authority over your business. We personally provide this service. You retain full control of your company at all times.
Yes. If you or another director subsequently qualifies as an ordinarily resident in Malaysia, you can appoint them and remove the nominee director through a formal resolution and SSM filing. We handle this process as part of our company secretarial service when the time comes.
Most sectors in Malaysia are open to 100% foreign ownership. Restrictions apply to certain regulated industries including banking, insurance, broadcasting, professional services, and some retail and distribution activities. We will review your business activity before proceeding to confirm whether any restrictions apply to you.
We assist with the bank account opening process as part of your incorporation engagement. Some banks require a director to be present in Malaysia for account opening; others allow remote or online account setup. We will advise you on the best options based on your circumstances and accompany you through the process.
Once your company is registered, your ongoing obligations include annual returns to SSM, income tax filings to LHDN, and maintaining proper accounting records. We handle all of this through our company secretarial and accounting services, so you stay fully compliant without having to navigate Malaysian regulations on your own.
Yes. Every Malaysian company must have a registered address in Malaysia for official SSM correspondence. This does not need to be your principal place of business. We can advise you on your registered address options as part of the incorporation process.
Yes. If you or your directors and employees plan to work in Malaysia, the company can apply for an Employment Pass through the Expatriate Services Division (ESD). This allows foreign nationals to be based in Malaysia as an employee or working director of your company. For owners who want to live in Malaysia without being employed, programmes such as Malaysia My Second Home (MM2H) and the Premium Visa Programme (PVIP) offer long-term residency options. The right path depends on your plans and the company's structure. We can help you think through the options once your company is set up.
Next Step
It is a legal requirement from the date of incorporation. We provide company secretarial services too, so you can keep everything under one roof.
